Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Spend self-custody cryptocurrency wallet application ("App," "we," "us," or "our"). By downloading, accessing, or using our App, you ("User," "you") agree to be bound by these Terms and our Privacy Policy, available at https://spendwallet.cc/privacy. If you do notAgree to these Terms or the Privacy Policy, do not use the App.

1. User Responsibilities

1. Security: You are solely responsible for the security of your device, private keys. You agree to take all necessary precautions to prevent unauthorized access to your wallet, including securely backing up your private keys. Spend does not store or have access to this information and cannot assist with recovery if it is lost.
2. Transactions: All transactions initiated through the App are processed on the Solana blockchain. You acknowledge that all blockchain transactions are irreversible. We have no ability to reverse or refund any transactions.
3. Fees: Transactions on the Solana network require the payment of network fees ("gas fees"). You are responsible for all such fees.
4. Compliance: You agree to use the App in compliance with all applicable local, national, and international laws and regulations. The App is not available in jurisdictions where its use is prohibited by law, including sanctioned countries or regions.
5. Taxes: You are solely responsible for determining and fulfilling any tax obligations related to your use of the App, including reporting cryptocurrency transactions to the relevant tax authorities. Spend does not provide tax advice.

2. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the App for any illegal purpose, including but not limited to money laundering, terrorist financing, or fraud.
• Attempting to gain unauthorized access to our systems or another user's wallet.
• Using the App to transmit viruses, malware, or any other malicious code.
• Decompiling, reverse-engineering, or otherwise attempting to derive the source code of the App.

3. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use. All rights, title, and interest in and to the App, including all intellectual property rights, are and will remain the exclusive property of Spend and its licensors. Any unauthorized use of the App’s intellectual property may result in termination of your access and legal action to protect our rights.

4. Disclaimers of Warranty

The App is provided "as is" and "as available" without any warranties of any kind, express or implied. We do not warrant that the App will be error-free, uninterrupted, or secure. You acknowledge that the value of cryptocurrencies is highly volatile and that you use the App at your own risk. We are not a financial advisor, and the App is not intended to provide financial advice.

5. Limitation of Liability

To the fullest extent permitted by law, in no event will Spend, its developers, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or digital assets, arising out of or related to your use of, or inability to use, the App. This includes, but is not limited to, losses resulting from:

• Your failure to maintain the security of your private keys.
• Errors or bugs in the App's software.
• Failures of the Solana network or other third-party services.
• Unauthorized third-party activities.

6. Indemnification

You agree to indemnify and hold harmless Spend and its developers from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

7. Third-Party Services

The App relies on third-party services, including but not limited to the Solana blockchain for transaction processing and Google Firebase for push notifications. These services are subject to their own terms and conditions, and we are not responsible for their performance, availability, or any issues arising from their use. You acknowledge that disruptions in these services may affect the functionality of the App.

If you download the App from a third-party app store, you acknowledge that these Terms are between you and Spend, not the app store provider, and that additional app store terms may apply.

8. Age Restrictions

The App is not intended for individuals under the age of 13 (or 16 in the European Union). By using the App, you represent and warrant that you meet the applicable age requirements. If we become aware that a user is under the required age, we may terminate their access to the App.

9. Updates to the App

We may release updates, patches, or new versions of the App from time to time to improve functionality, security, or compliance. You are responsible for installing and using the latest version of the App. Failure to update may result in limited functionality or inability to use certain features.

10. Termination of Use

We reserve the right to suspend or terminate your access to the App at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or misuse of the App. Upon termination, your right to use the App will cease immediately, but you will retain control of your private keys and digital assets, as the App is self-custodial. You may lose access to app-specific features, such as transaction history or push notifications. Any user data stored by Spend (e.g., via third-party services) will be handled in accordance with our Privacy Policy.

11. Modification of Terms

We may update these Terms from time to time to reflect changes in our practices, technology, or other factors. When we make changes, we will:

• Update the "Last Updated" Date and Version Number: The date and version number at the top of these Terms will reflect when changes become effective.
• Post the Updated Terms: The revised Terms will be made available on our website and accessible through the app's terms of use link.

Your continued use of the App after any changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed about your rights and responsibilities.

If you do not agree with any changes to these Terms, you should discontinue use of the App.

12. Force Majeure

Spend shall not be liable for any failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, network failures, or changes in applicable law.

13. Regulatory Compliance

Spend reserves the right to modify or discontinue the App, in whole or in part, to comply with applicable laws or regulations, including changes in cryptocurrency regulations.

14. Severability and Entire Agreement

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spend regarding your use of the App and supersede any prior agreements.

15. Language

These Terms are provided in English. If you require a translation, please contact us at support@spendwallet.cc, but the English version shall govern in case of any discrepancies.
